Review Customer Contracts Before Selling a Business

Customer contracts can support a sale only if the buyer understands what continues after closing. Review terms before presenting recurring revenue as a promise a new owner can rely on.

Build an agreement register

List the customer, agreement date, term, renewal process and notice requirements. Keep the full documents in a controlled file rather than circulating them with every inquiry.

Flag assignment and change of control language for your attorney. An asset sale and an ownership interest sale may raise different contract questions.

Include arrangements that operate without a signed contract with a fixed term. Explain their actual history instead of labeling all repeat work as contracted revenue.

Look for concentration and dependencies

Show how much revenue comes from major accounts using your own records. Buyers may ask what happens if one relationship ends, even when the current customer seems dependable.

If customers deal only with you, identify a sensible handoff process. Introducing a manager to the relationship over time may matter as much as the written agreement.

Coordinate contact with confidentiality

Do not ask every customer for consent before you and your advisor agree on timing. Premature disclosure can create uncertainty while a deal is still tentative.

Use the purchase agreement and diligence process to decide when approvals are needed and who requests them. The answer should come from the actual terms and transaction team.
